1. Service Description
Accentio provides access to various resources, including tools, training materials, and educational content, accessible across multiple devices (the "Service"). You agree that the Service may include necessary advertisements, service announcements, and administrative messages. The Service is provided "AS-IS," and Accentio assumes no responsibility for delays, deletions, mis-delivery, or failure to store user communications or personalization settings. 3. Website Management Service (WP Care)

Website Hosting: Hosting services if you order it.
Software Updates: Updates to WordPress core, themes, and plugins are conducted at the intervals indicated in your plan. During times of enhanced security threats, updates may occur more frequently.
Website Backups: Backups of your website files and database are performed according to the interval specified in your plan and stored in a secure cloud data vault, retaining multiple previous backups for recovery purposes.
Website Security: Our security protocol hardens WordPress against unauthorized access, utilizing industry-leading software to protect against potential hacking attempts.
While it is impossible to guarantee that your website will never be hacked, these measures significantly reduce risk. If a hack occurs, we will restore your site to its pre-hack condition at no additional cost, either by restoring a backup or performing a malware cleanup at our discretion.
Restoring Backups
Hack-related issues: Unlimited restorations at no extra charge.
User error: One free restorations per 30-day period; additional restorations are billable at our hourly rate.
Premium Themes and Plugins
Accentio provides licenses for many premium themes and plugins.
If licenses are not provided by Accentio, you are responsible for obtaining and maintaining them.
Accentio is not liable for issues arising from out-of-date, unlicensed premium plugins.
4. Plugin Compatibility
If a plugin update causes compatibility issues, we will consult you to resolve the issue. If resolution requires more than 2 hours, additional time will be billable at our hourly rate.

Accentio is not responsible for work performed by third-party providers (e.g., SEO professionals, social media managers). Any necessary corrections to third-party work are billable at our hourly rate.
7. Email Deliverability
Accentio is not responsible for undelivered system-generated emails (e.g., contact form notifications, password resets). Clients should regularly check spam folders and website interfaces for missed notifications.
8. Payment and Cancellation for Website Management Services
Payments for services are due on the first day of the service period (monthly, quarterly, or annually).
Cancellations require a 30-day notice. No refunds are offered for canceled services.
If you discontinue services, responsibility for website backups, security, and updates rests solely with you.
9. Late Payment Policy
Invoices are due upon receipt. If unpaid for over 30 days, Accentio reserves the right to suspend public access to your website until all outstanding invoices are settled.
10. Security Responsibilities
Accentio employs standard WordPress security practices. However, client devices used to log into the website should be secured with updated operating systems, web browsers, and security software. Strong, unique passwords are mandatory for site access.

Accentio and the Client agree to keep all emails and communications private. No terms of this contract are to be shared outside of involved parties. Accentio will safeguard confidential client information and only disclose it upon lawful requests from law enforcement.
13. Disclaimer of Warranty
Accentio disclaims all warranties, express or implied, including any warranties of merchantability, non-infringement, and fitness for a particular purpose. Accentio is not liable for loss or damage from denial-of-service attacks, viruses, or other harmful materials.
14. Legal Page Creation Disclaimer
Accentio offers clients the option to create legal pages (such as privacy policies, terms and conditions, etc.) through a third-party service, Termageddon. Please note that Accentio is not responsible for the content, accuracy, or legal compliance of these pages. The service is provided "as-is" by Termageddon, and Accentio makes no guarantees or warranties regarding the legal sufficiency or suitability of the pages generated. Clients are encouraged to review and consult with a legal professional to ensure that the pages meet their specific requirements and compliance standards.
15. Limitation of Liability
Accentio’s liability is limited to the fees collected on the client’s account over the last three months. Accentio is not liable for indirect, incidental, or punitive damages, including personal injury, loss of profits, data loss, or emotional distress.
16. Severability
If any part of this Agreement is held unenforceable or invalid, the remaining provisions will continue in effect.
17. Data Privacy and Compliance
Accentio is committed to protecting client and user privacy in accordance with applicable data protection regulations (such as GDPR and CCPA). Any personal data collected or processed by Accentio on behalf of clients is handled securely and in compliance with relevant privacy laws. 18. Scope of Services
Accentio’s Website Management Service covers the services specified in this agreement. Any tasks outside the outlined scope—including but not limited to website redesigns, advanced customizations, and integrations not listed in the Service Description—are not included and will be subject to additional fees, which will be discussed and agreed upon before work begins.
19. Service Availability and Downtime
Accentio aims to maintain a high level of service availability. However, we may occasionally need to perform scheduled maintenance, which could temporarily disrupt access to the Service. Accentio will attempt to notify clients of scheduled maintenance in advance. Unscheduled downtime may also occur due to unforeseen technical issues; Accentio will work diligently to restore service as quickly as possible in such events.
20. Intellectual Property Rights
Any proprietary content or code created by Accentio during the course of providing services remains the intellectual property of Accentio unless otherwise transferred to the client in writing. Clients are granted a limited license to use any materials specifically created for them as part of this service agreement. This license is non-transferable and revocable upon termination of the agreement.
If clients submit images, text, or other materials to Accentio for use in their projects, it is assumed that they have full rights or proper authorization to use these materials. Accentio is not responsible for verifying the ownership or licensing of client-submitted content and is not liable for any copyright or intellectual property issues that may arise from its use. Clients agree to indemnify and hold Accentio harmless from any claims or disputes related to content provided by them.
21. Termination by Accentio
Accentio reserves the right to terminate this agreement at any time, without prior notice, in cases of:

22. Dispute Resolution and Governing Law
In the event of a dispute arising from or related to this Agreement, the parties agree to first attempt resolution through informal discussions. If such efforts do not resolve the dispute, it shall be settled through mediation or arbitration, as agreed upon by both parties. This Agreement is governed by the laws of Quebec, Canada, without regard to conflict of law provisions.
23. Modification of Terms
Accentio reserves the right to modify these terms and conditions at any time. Clients will be notified of significant changes, and continued use of Accentio’s services after modifications indicates acceptance of the revised terms.
